Conflict of Interest Policy

This public restatement preserves the substantive framework of the Friends of Dago, Inc. Conflict of Interest Policy while updating presentation and current organizational contact information. It should not be interpreted as a new Board adoption or amendment unless a later Board action is formally recorded.
Purpose
The purpose of this policy is to protect the interests of Friends of Dago, Inc. when the organization considers a transaction, arrangement, relationship, or decision that may benefit the private interests of a director, officer, or other person with a duty to the organization.
Duty to Disclose
Directors and officers must disclose actual or potential conflicts of interest, including relevant financial interests, personal interests, family relationships, employment, business relationships, or affiliations with other organizations that could affect—or reasonably appear to affect—independent judgment on behalf of Friends of Dago.
Procedure
- Disclosure: A person with an actual or potential conflict must disclose the relevant facts to the Board or other authorized decision-making body.
- Recusal: The person with the conflict must not participate in the decision or vote on the matter, except to provide factual information when requested.
- Review: Disinterested Board members review the disclosed conflict and determine the appropriate action in the best interests of Friends of Dago.
- Documentation: The disclosure, recusal, consideration, and decision should be documented in the meeting minutes or other appropriate organizational record.
Annual Compliance
Board members and officers should complete an annual acknowledgement confirming that they received, read, and understand the policy; agree to comply with it; and disclosed known actual or potential conflicts.
Appearance of Impropriety
Friends of Dago seeks not only to avoid actual conflicts but also to address situations that may reasonably create an appearance that organizational decisions are being influenced by private interests.
Recordkeeping
Conflict disclosures and annual statements should be maintained with governance records. Access should be limited as appropriate, while Board decisions and recusals should be reflected in official minutes.
